Gerard, as a seasoned attorney, with over 30 years of experience, has extensive public and private market experience and is skilled in all aspects of both transactional and litigation practices.
Gerard began his legal career as a federal court clerkship with Chief Judge Louis C. Bechtle in the United States District Court for the Eastern District of Pennsylvania, and then worked for several years primarily as a litigator at Montgomery McCracken, where he focused on complex commercial and white-collar criminal defense litigation as well as corporate compliance investigations.
Gerard next served as an Assistant United States Attorney for the District of New Jersey, where he prosecuted federal matters at both the trial and appellate levels.
Gerard returned to private practice joining the corporate legal department at Morgan Lewis working with start-up and emerging growth businesses and entrepreneurs developing a keen sense of the interplay between business and legal counseling meant to promote deal development.
Since then, Gerard has held senior executive and business development positions within growth-oriented start-ups as well as worked within several companies as in-house general counsel.
Gerard is especially adept at (i) representing companies regarding their corporate compliance, organizational and governance requirements as well as (ii) drafting and negotiating distribution, service, employment, consulting, software licensing and other commercial/vendor agreements as well as other financial instruments relating to credit facilities and investor financings.
Gerard’s current practice is geared toward managing risks for his clients, mostly in the commingling issues of law and business with an emphasis on creating and delivering value in the relationship and bringing more than he might receive. Gerard has worked with, coached and counseled senior executives as they negotiate issues of investment and financing, corporate structure and governance, succession planning, human resource planning and employee growth.
