Although Jeff has participated on deals in excess of $100 million, including the multi-billion Montgomery Ward management buyout from Mobile Corp., he has primarily focused on start-ups, early stage and middle market privately held businesses and turnaround/restructuring opportunities. Jeff’s varied experiences mirror his diverse background and skills, as both an entrepreneur, business advisor, officer, attorney and accountant. Prior to joining the Firm, Jeff served as:
Chief Operating Officer and General Counsel of Digital Media Campus, a venture-backed “incubator” focused on early-stage and middle-stage investment opportunities, primarily in the sports/entertainment and technology-related fields. In this capacity, he was primarily responsible for managing all corporate, legal, operational and financial functions for the parent and portfolio companies;
Vice President of Corporate Strategy and General counsel of a venture-backed start-up information sharing technology company;
Founder and Principal of a business advisory services firm focused on early stage/middle market opportunities;
Corporate/Mergers & Acquisition Attorney for a Chicago-based full service law firm; and
Accountant with Arthur Andersen & Co. in the Tax Department providing tax advisory services.
As part of his services, Jeff has drafted and negotiated a wide array of documents covering every phase of the formation, growth, development and evolution of a business, including, just to name a few, letters of intent and term sheets, asset purchase agreements, stock purchase agreements, merger documents, licenses, restructuring agreements, financing/loan documents, guaranties and pledges, secured transaction documentation, employment and independent contractor agreements, forbearance agreements, redemption and termination agreements, bankruptcy plans and disclosure statements, incorporation and formation documentation and equity offering/issuance documentation, and business plans and term sheets.
